The name "Stripe" and the Stripe logo are trademarks of Stripe, Inc. Nezlu is a tool that interfaces with Stripe's publicly available API to help users manage their own Stripe accounts.

1. Definitions

For the purposes of these Terms of Service:

  • "Nezlu," "Service," "Application," or "Software" refers to the Nezlu desktop application, website (nezlu.intelliquinte.com), and all related services provided by Intelliquinte L.L.C.
  • "Company," "we," "us," or "our" refers to Intelliquinte L.L.C., a limited liability company organized under the laws of the State of North Carolina, United States.
  • "User," "you," or "your" refers to the individual or entity accessing or using the Service.
  • "Account" refers to the unique account created for you to access the Service.
  • "Subscription" refers to the paid license that grants you access to the Service.
  • "Content" refers to any information, data, text, software, graphics, or other materials uploaded, downloaded, or appearing on the Service.
  • "Stripe" refers to Stripe, Inc. and its payment processing services, which are accessed through Nezlu using your own Stripe API credentials.
  • "API Key" refers to your Stripe API credentials that you provide to Nezlu for connecting to your Stripe account.

2. Acceptance of Terms

2.1 Agreement to Terms

By downloading, installing, accessing, or using Nezlu, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy (incorporated herein by reference). These Terms constitute a legally binding agreement between you and Intelliquinte L.L.C.

2.2 Capacity to Contract

By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract and are not barred from using the Service under applicable law.

2.3 Authority

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

3. Description of Service

3.1 What Nezlu Is

Nezlu is a local-first, security-focused desktop application designed to help users manage their Stripe accounts. The Service provides:

  • A desktop interface for viewing and managing Stripe data (products, customers, invoices, subscriptions, etc.)
  • Local encrypted storage of Stripe data for offline access and faster performance
  • Secure storage of your Stripe API keys in your operating system's native keychain
  • Bidirectional synchronization between your local data and Stripe
  • Analytics, reporting, and data export capabilities
  • Account authentication and subscription management

3.2 What Nezlu Is NOT

Nezlu is NOT:

  • A payment processor or payment gateway
  • A replacement for Stripe or the Stripe Dashboard
  • A provider of financial, legal, or tax advice
  • Affiliated with, endorsed by, or sponsored by Stripe, Inc.
  • A guarantor of any financial transactions or outcomes

3.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

4. Relationship with Stripe

CRITICAL DISCLAIMER: NEZLU IS AN INDEPENDENT THIRD-PARTY APPLICATION. WE ARE NOT AFFILIATED WITH, ENDORSED BY, SPONSORED BY, OR IN ANY WAY OFFICIALLY CONNECTED WITH STRIPE, INC.

4.1 Independence from Stripe

Nezlu is developed and maintained independently by Intelliquinte L.L.C. We have no corporate, financial, legal, or partnership relationship with Stripe, Inc. The Stripe name, logo, and trademarks are the property of Stripe, Inc. and are used solely to identify the service with which Nezlu integrates.

4.2 Use of Stripe API

Nezlu interfaces with Stripe's publicly available Application Programming Interface (API) to provide its functionality. This integration is performed in accordance with Stripe's API Terms of Service and does not imply any endorsement, partnership, or affiliation.

4.3 Your Stripe Account

Your use of Nezlu requires you to have an existing Stripe account. Your relationship with Stripe is governed solely by Stripe's Terms of Service and policies. We are not responsible for:

  • Any actions taken by Stripe regarding your Stripe account
  • Changes to Stripe's API, pricing, or services
  • Any disputes between you and Stripe
  • Stripe's availability, uptime, or service quality
  • Any fees, charges, or costs imposed by Stripe

4.4 API Key Security

You are solely responsible for the security of your Stripe API keys. When you provide your API key to Nezlu, it is stored locally on your device in your operating system's secure keychain. We do not transmit, store, or have access to your Stripe API keys on our servers.

4.5 Stripe Trademarks

"Stripe" and all related logos, product and service names, designs, and slogans are trademarks of Stripe, Inc. or its affiliates. You must not use such marks without the prior written permission of Stripe, Inc. All other names, logos, product and service names, designs, and slogans on the Nezlu website or application are the trademarks of their respective owners.

5. Eligibility

5.1 Age Requirement

You must be at least eighteen (18) years of age to use the Service. By using Nezlu, you represent and warrant that you are at least 18 years old.

5.2 Geographic Restrictions

The Service is intended for use by individuals and entities located in jurisdictions where such use is legal. You are responsible for ensuring that your use of the Service complies with all applicable local, state, national, and international laws and regulations.

5.3 Prohibited Users

You may not use the Service if you:

  • Are located in, under the control of, or a national or resident of any country subject to United States embargo or sanctions
  • Are on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List
  • Have previously been suspended or removed from the Service
  • Are prohibited from using the Service under applicable law

6. Account Registration and Security

6.1 Account Creation

To use Nezlu, you must create an account by providing accurate, current, and complete information. You agree to update your information to keep it accurate, current, and complete.

6.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that you log out of your account at the end of each session

6.3 Account Restrictions

You may not:

  • Create more than one account per person
  • Share your account credentials with others
  • Transfer your account to another person without our prior written consent
  • Use another person's account without permission

6.4 PIN/Password Security

Nezlu uses a PIN-based authentication system for local security. You are solely responsible for keeping your PIN confidential. We cannot recover lost PINs and are not responsible for any unauthorized access resulting from compromised credentials.

7. End User License Agreement (EULA) and License Terms

SOFTWARE LICENSE: This section constitutes the End User License Agreement ("EULA") for Nezlu. By installing, copying, or otherwise using Nezlu, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

7.1 Grant of License

Subject to your compliance with these Terms, payment of applicable subscription fees, and the restrictions set forth herein, Intelliquinte L.L.C. ("Licensor") grants you ("Licensee") a:

  • Limited: The license is restricted to the specific uses outlined in this agreement
  • Non-exclusive: We may grant similar licenses to others
  • Non-transferable: You may not transfer this license to another party
  • Non-sublicensable: You may not sublicense the Software to others
  • Revocable: We may terminate this license as provided in these Terms
  • Personal or Internal Business: For your own use or your organization's internal use only

This license permits you to download, install, and use the Nezlu application on devices you own or control, solely in accordance with these Terms.

7.2 License Scope and Permitted Use

Under this license, you MAY:

  • Install the Software on devices you own or control
  • Use the Software to manage Stripe accounts you own or are authorized to manage
  • Create backups of the Software for archival purposes
  • Export your data from the Software in supported formats
  • Receive updates and new versions during your active subscription period

7.3 License Restrictions

Under this license, you may NOT:

  • Copy or Reproduce: Make copies of the Software except as expressly permitted
  • Modify or Adapt: Modify, translate, adapt, or create derivative works based on the Software
  • Distribute: Distribute, publish, share, or otherwise make the Software available to third parties
  • Sell, Lease, or Rent: Sell, lease, rent, lend, or otherwise transfer the Software or any rights therein
  • Sublicense: Grant sublicenses, assign, or otherwise transfer any rights under this license
  • Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, structure, or organization of the Software
  • Remove Notices: Remove, alter, cover, or obscure any copyright notices, trademarks, or other proprietary notices in the Software
  • Circumvent Protection: Circumvent, disable, or interfere with any security features, license validation, or copy protection mechanisms
  • Competing Products: Use the Software or any information obtained from it to develop a competing product or service
  • Benchmark or Test: Publish or disclose benchmark tests or performance data without our prior written consent
  • Service Bureau: Use the Software for service bureau, time-sharing, or similar commercial purposes for third parties
  • Automated Access: Use bots, scrapers, automated systems, or AI tools to access or interact with the Software
  • Exceed License Scope: Use the Software beyond the scope of the license granted or for more users than licensed
  • Illegal Use: Use the Software for any illegal, fraudulent, or unauthorized purpose
  • Harmful Code: Introduce viruses, malware, or other harmful code through the Software
  • Export Violations: Export or re-export the Software in violation of applicable export control laws

7.4 Intellectual Property Rights

The Software is protected by copyright laws, international treaty provisions, and other intellectual property laws. The Software is licensed, NOT sold. Intelliquinte L.L.C. and its licensors retain all right, title, and interest in and to the Software, including:

  • All copyrights, patents, trade secrets, trademarks, and other intellectual property rights
  • All modifications, enhancements, and derivative works
  • All copies of the Software, regardless of form or media
  • All documentation, manuals, and other materials related to the Software

7.5 Ownership of Your Data

You retain all ownership rights to:

  • Your Stripe data that you manage through the Software
  • Any data you input into the Software
  • Backups and exports you create from the Software

We claim no ownership over your data. Your locally-stored data remains your property.

7.6 License Validation

The Software includes license validation mechanisms that:

  • Verify your subscription status upon launch and periodically during use
  • Communicate with our servers to confirm license validity
  • May disable functionality if your subscription expires or is invalid
  • May require internet connectivity for validation

You agree not to circumvent, disable, or interfere with these license validation mechanisms.

7.7 Updates and Upgrades

During your active subscription:

  • You will receive software updates, bug fixes, and security patches
  • Updates may be installed automatically or require manual installation
  • We may modify, enhance, or discontinue features at our discretion
  • Major version upgrades may be included or may require additional fees (as disclosed)

7.8 Open Source Components

The Software may include open source software components. These components are subject to their respective open source licenses, which may be found in the application's documentation or about section. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

7.9 U.S. Government Rights

If you are a U.S. Government end user, the Software is a "Commercial Item" as defined in 48 C.F.R. §2.101 and is licensed with only those rights as are granted to all other end users pursuant to the terms and conditions herein.

7.10 Export Compliance

The Software may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and regulations and warrant that you are not:

  • Located in, or a national or resident of, any country subject to U.S. embargo
  • On any U.S. Government restricted parties lists
  • Involved in the design, development, or production of nuclear, chemical, or biological weapons

7.11 Audit Rights

We reserve the right, upon reasonable notice, to audit your use of the Software to verify compliance with this license. You agree to cooperate with such audits and provide reasonable access to relevant records and systems. If an audit reveals unauthorized use, you agree to promptly pay any underpaid fees plus reasonable audit costs.

7.12 Reservation of Rights

All rights not expressly granted to you in this EULA are reserved by Intelliquinte L.L.C. No implied licenses are granted. This license does not grant you any rights to use Intelliquinte's trademarks, trade names, or service marks except as necessary to describe the origin of the Software.

7.13 Term and Termination of License

This license is effective until terminated:

  • By You: You may terminate by uninstalling the Software and destroying all copies
  • By Us: We may terminate immediately if you breach any term of this EULA
  • Automatic: The license terminates automatically when your subscription expires or is cancelled

Upon termination, you must:

  • Cease all use of the Software
  • Uninstall and destroy all copies of the Software
  • Delete any Software components from your systems
  • Certify in writing, upon request, that you have complied with these requirements

Termination does not entitle you to any refund of fees paid. Sections that by their nature should survive termination will survive.

8. Subscription, Payment, and Billing

8.1 Subscription Plans

Nezlu offers the following subscription plans:

  • Monthly Plan: $19.00 USD per month
  • Annual Plan: $149.00 USD per year

Prices are subject to change with notice. Changes will not affect your current billing period.

8.2 Free Trial

We may offer a free trial period at our discretion. Trial terms will be disclosed at signup. You may be required to provide payment information to start a trial. If you do not cancel before the trial ends, you will be automatically charged for the subscription.

8.3 Payment Processing

Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method for the applicable subscription fee. You agree to provide accurate and complete billing information.

8.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. For monthly plans, this means monthly renewal. For annual plans, this means yearly renewal. You will be charged the then-current subscription price at each renewal.

8.5 Failed Payments

If a payment fails, we may:

  • Attempt to charge your payment method again
  • Suspend or terminate your access to the Service
  • Contact you to update your payment information

8.6 Taxes

Subscription fees are exclusive of all applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes based solely on our income.

9. Cancellation and Refunds

9.1 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.

9.2 Refund Policy

Our refund policy is as follows:

  • Monthly Subscriptions: No refunds for partial months. You may cancel to prevent future charges.
  • Annual Subscriptions: Refund requests within the first 14 days of purchase may be considered on a case-by-case basis. After 14 days, no refunds will be issued.
  • Exceptions: Refunds may be granted at our sole discretion in cases of documented technical issues that prevent use of the Service and cannot be resolved.

9.3 Refund Requests

To request a refund, contact us at billing.nezlu@intelliquinte.com with your account email and reason for the request. Refund requests are evaluated on a case-by-case basis and are granted at our sole discretion.

9.4 Effect of Cancellation

Upon cancellation or expiration of your subscription:

  • Your access to the Service will be terminated
  • Your locally stored data will remain on your device but will not sync
  • You will not be able to access new features or updates
  • Your account information may be retained in accordance with our Privacy Policy

10. Acceptable Use Policy

10.1 Permitted Use

You may use Nezlu only for lawful purposes and in accordance with these Terms. You agree to use the Service only for managing your own legitimate Stripe accounts or Stripe accounts you are authorized to manage.

10.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Use the Service to commit fraud or facilitate fraudulent activities
  • Use the Service to process transactions for illegal goods or services
  • Use the Service to launder money or finance terrorism
  • Use the Service to infringe on intellectual property rights of others
  • Use the Service to harass, abuse, or harm another person
  • Use the Service to collect or store personal data about others without consent
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service in a manner that could damage, disable, or impair the Service
  • Introduce viruses, trojans, worms, or other malicious code
  • Use the Service to send spam, unsolicited communications, or promotions
  • Resell, redistribute, or provide access to the Service to third parties
  • Use the Service in any manner that violates Stripe's Terms of Service

10.3 Enforcement

We reserve the right to investigate suspected violations of these Terms and may take action including warning, suspension, or termination of your account, and/or reporting illegal activities to law enforcement authorities.

11. User Responsibilities

11.1 Stripe Compliance

You are solely responsible for ensuring that your use of Stripe complies with Stripe's Terms of Service, Acceptable Use Policy, and all applicable laws. Nezlu does not monitor, approve, or control your Stripe activities.

11.2 Data Accuracy

You are responsible for the accuracy of all data you input, modify, or manage through Nezlu. We are not responsible for any errors, losses, or damages resulting from inaccurate data entry.

11.3 Backup Responsibility

While Nezlu provides local data storage and backup features, you are ultimately responsible for maintaining backups of your important data. We are not responsible for data loss.

11.4 Tax Compliance

You are solely responsible for determining what taxes apply to your transactions and for collecting, reporting, and remitting the correct taxes to the appropriate authorities. Nezlu does not provide tax advice.

11.5 Legal Compliance

You are responsible for complying with all applicable laws and regulations in your jurisdiction, including but not limited to data protection laws, consumer protection laws, and financial regulations.

12. Data and Security

12.1 Local-First Architecture

Nezlu is designed with a local-first architecture. Your Stripe data is stored locally on your device and encrypted. Your Stripe API keys are stored in your operating system's secure keychain.

12.2 Data We Collect

Please refer to our Privacy Policy for detailed information about what data we collect, how we use it, and how we protect it.

12.3 Security Measures

We implement industry-standard security measures including:

  • AES-256-GCM encryption for local data storage
  • Secure keychain storage for API credentials
  • TLS 1.3 encryption for all communications
  • Bcrypt password hashing
  • PIN-based local authentication

12.4 No Guarantee

While we implement reasonable security measures, no system is completely secure. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures. You acknowledge and accept this risk.

13. Intellectual Property

13.1 Our Intellectual Property

The Service, including all content, features, functionality, software, text, displays, images, video, audio, design, selection, and arrangement thereof, is owned by Intelliquinte L.L.C., its licensors, or other providers of such material and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

13.2 Trademarks

"Nezlu," "Nexum," the Nezlu logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Intelliquinte L.L.C. You may not use such marks without our prior written permission.

13.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, distribute, and incorporate such feedback without any obligation to you.

14. Third-Party Services

14.1 Third-Party Integrations

The Service integrates with third-party services, primarily Stripe. Your use of third-party services is governed by those services' terms and policies. We are not responsible for third-party services.

14.2 Third-Party Links

The Service may contain links to third-party websites. We do not control and are not responsible for the content or practices of any third-party websites.

14.3 No Endorsement

Reference to any third-party products, services, or websites does not constitute an endorsement or recommendation by us.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

15.1 No Warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, INTELLIQUINTE L.L.C. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OR FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

15.2 Service Disclaimers

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will be compatible with your systems

15.3 Financial Disclaimer

NEZLU IS NOT A FINANCIAL ADVISOR, TAX ADVISOR, OR LEGAL ADVISOR. THE SERVICE DOES NOT PROVIDE FINANCIAL, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR SUCH ADVICE.

15.4 Stripe Disclaimer

WE ARE NOT RESPONSIBLE FOR:

  • Any actions taken by Stripe
  • Stripe's availability or performance
  • Changes to Stripe's API or services
  • Any disputes between you and Stripe
  • Any transactions processed through Stripe

16. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

16.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTELLIQUINTE L.L.C., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • DAMAGES RESULTING FROM ANY THIRD-PARTY CONDUCT OR CONTENT
  • DAMAGES RESULTING FROM ANY ERRORS, MISTAKES, OR INACCURACIES IN THE SERVICE

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

16.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
  • ONE HUNDRED DOLLARS ($100.00 USD)

16.3 Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

16.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

17. Indemnification

You agree to defend, indemnify, and hold harmless Intelliquinte L.L.C., its directors, officers, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any rights of another party
  • Your violation of any applicable laws, rules, or regulations
  • Any content you submit, post, or transmit through the Service
  • Any activity related to your account
  • Your use of your Stripe account

18. Termination

18.1 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting the application from your devices.

18.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Violation of applicable laws
  • Conduct harmful to other users, us, or third parties
  • Extended inactivity
  • Non-payment of fees
  • At our sole discretion

18.3 Effect of Termination

Upon termination:

  • Your license to use the Service immediately ends
  • You must cease all use of the Service
  • You must delete all copies of the Software
  • We may delete your account and data (subject to legal retention requirements)
  • Provisions of these Terms that by their nature should survive termination shall survive

18.4 Survival

The following sections shall survive termination: Definitions, Relationship with Stripe, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and General Provisions.

19. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

19.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal.nezlu@intelliquinte.com. We will attempt to resolve the dispute within sixty (60) days.

19.2 Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

19.3 Arbitration Terms

  • The arbitration shall take place in Wake County, North Carolina, or at another mutually agreed location
  • The arbitration shall be conducted by a single arbitrator
  • The arbitrator's decision shall be final and binding
  • Judgment on the award may be entered in any court having jurisdiction
  • Each party shall bear its own costs and attorneys' fees

19.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

19.5 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

19.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal.nezlu@intelliquinte.com within thirty (30) days of your first use of the Service. The notice must include your name, address, and a clear statement that you wish to opt out.

20. Governing Law

20.1 Choice of Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

20.2 Jurisdiction

To the extent that any lawsuit or court proceeding is permitted under these Terms, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Wake County, North Carolina.

21. Modifications to Terms

21.1 Right to Modify

We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on our website and/or notifying you via email.

21.2 Effective Date

Changes will become effective upon posting unless otherwise specified. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

21.3 Rejection of Changes

If you do not agree to modified Terms, you must stop using the Service and cancel your subscription.

22. General Provisions

22.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us concerning the Service.

22.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

22.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

22.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

22.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
